Terms
1. Definitions and Interpretations
“Booking Price” means the price payable by a Member for the performance of the service requested.
“Customer” means any person travelling booked by a Member through the ROLZO Platform.
“Member” means any person registered with ROLZO and so entitled to utilise the ROLZO Platform.
“Parties” means, as the context may require, ROLZO, Members and Customers.
"Provider" means a third-party provider, including any drivers licensed to provide the transportation, car rental or meet and assist services in accordance with the Legislation.
“Provider’s Terms” means the terms pursuant to which the service is made available to the Customer for the performance of the service.
"ROLZO" means ROLZO Limited of 91 Wimpole St, Marylebone, London W1G 0EF and/or ROLZO, Inc. of 2035 Sunset Lake Rd Suite B-2 Newark, DE 19702, USA.
“ROLZO Platform” means the technology platform available at business.rolzo.com, by telephone, and email, by which ROLZO enables Members to search for, request and book transportation, car rental, and meet and assist services from third-party Providers.
“Supplementary Invoice” means an invoice for any costs, charges or expenses which arise out of the performance of the service but fall outside the scope of the Booking Price.
“Terms” means the binding legal agreement between a Member and ROLZO that governs the use of the ROLZO platform.
“Vehicle” means any vehicle operated by a third-party Provider for the provision of a transportation or car rental service.
"Website" shall mean www.rolzo.com.
2. Use of the ROLZO Platform
2.1 The 'ROLZO Platform' constitutes a technology platform that enables Members of ROLZO’s mobile applications or websites provided as part of the services to search for, request, and book transportation, car rental, and meet and assist services with independent third-party providers of such services, including independent third-party transportation providers, car rental providers, and meet and assist providers (‘Providers’);
2.2 Before being able to search for, request, and book transportation, car rental, and meet and assist services, a user must create a business account. Business accounts are meant for commercial use within the business sector, whereby certain benefits apply;
2.3 In order to create a business account and become a Member, a user must share his/her first name, last name, email address, telephone number, company name, and company registered address. Members guarantee that all data provided are true, correct and up to date;
2.4 Only Members may book transportation, car rental, and meet and assist services through the ROLZO Platform;
2.5 Members hereby engage, and ROLZO accepts such engagement to act as the Member’s agent with regard to arranging transportation, car rental, and meet and assist services on behalf of the Member and/or Customer with a third-party Provider;
2.6 Members confirm, acknowledge, and agree that:
2.6.1 All services booked through the ROLZO Platform are provided by third-party Providers;
2.6.2 In making services available through the ROLZO Platform, ROLZO acts solely as the agent for the Member and the intermediary between Members and Providers in arranging transportation, car rental and meet and assist services;
2.6.3 ROLZO does not operate as a transportation, car rental or meet and assist provider and it does not own, operate or maintain vehicles;
2.6.4 These Terms do not constitute a contract for transportation, car rental or meet and assist and no such contract will be entered into between ROLZO, Members and/or Customers;
2.6.5 Transportation, Car Rental, and Meet and Assist services are provided to Customers under the Provider’s Terms between the Customer and the Provider that is providing the service to the Customer;
2.6.6 ROLZO is not a party to the Provider’s Terms and acts as a disclosed agent for the Provider in communicating the service’s terms and conditions;
2.6.7 Services shall at all times be subject to the Provider’s Terms;
2.6.8 Members are of sufficient legal age and capacity to enter into legally binding agreements, including these Terms;
2.6.9 Customers are of sufficient legal age and capacity to enter into legally binding agreements, including the Provider’s Terms;
2.6.10 Members shall without delay make a copy of these Terms and the Provider’s Terms available to all Customers;
3. General Terms
3.1 Members shall provide ROLZO all necessary information and assistance, including confirmation of the booking details and identity of all Customers within any timeframe as may be stipulated by ROLZO, in order that ROLZO can issue booking documents as necessary and/or finalise arrangements for the performance of the service;
3.2 Subject to the availability of the service, upon acceptance of the booking request, ROLZO shall issue a Booking Confirmation;
3.3 Where a Member requests any changes to the booking as detailed in the Booking Confirmation, additional charges may be payable. Should ROLZO determine that additional charges are payable these shall be settled on demand by the Member, failing which the requested change(s) will not be actioned by ROLZO;
3.4 Members shall comply in all respects with the terms and conditions of the service and shall procure such compliance on the part of all Customers;
3.5 Members acknowledge and agree that the chauffeur of the relevant Vehicle is entitled to take all necessary safety precautions at any time, including but not limited to the full authority to make decisions regarding (passengers and luggage), planned route, the sufficiency of weather conditions for safe driving;
3.6 Members and Customers are solely responsible for obtaining all required documents including but not limited to driving licence, passport, visas and for complying with all applicable customs, police, public health, immigration and other lawful regulation, laws, orders, demands, instructions and travel requirements. All documents shall be presented in sufficient time to complete pick-up and/or departure, arrival or transit procedures (as the case may be). ROLZO shall have no liability whatsoever for a Member’s or Customer’s failure to comply with this Clause 3.6;
3.7 Should a Member elect not to use one or more services forming part of a booking, there shall be no entitlement to any refund from ROLZO (partial or otherwise).
4. Payment
4.1 The following payment methods are accepted by ROLZO: debit or credit cards; bank transfers.
4.2 The prices that apply for the transportation, car rental, and meet and assist services can be found on the ROLZO Platform. These may be modified or updated from time to time. It is the Members responsibility to remain informed about the current prices.
4.3 Special requests e.g. additional stops, additional luggage, personalisation items etc. may cause the booking price to increase.
4.4 The Booking Price and any additional charges will be inclusive of applicable taxes (if any) where required by law.
4.5 Payment will be facilitated as soon as practicable by ROLZO using the Member’s preferred payment method.
4.6 The booking price is payable no later than 24 hours prior to the commencement of the booking. Should the payment not be received within that time frame, ROLZO shall be entitled to cancel the booking and charge any cancellation fees.
4.7 In the event of a Member cancelling their confirmed booking prior to the commencement of the booking, funds will be refunded to the Member, less any cancellation fees.
4.8 ROLZO may issue a Supplementary Invoice following completion of the booking for any costs, charges or expenses which arise out of the performance of the service but fall outside the scope of the Booking Price; The additional charges shall be charged automatically on the Member’s preferred payment method.
4.9 All sums payable to ROLZO including the Booking Price and any Supplementary Invoice, shall be due in full without any right of set-off, deduction or counterclaim.
4.10 If a Member’s primary payment method is determined to be expired, invalid or otherwise not able to be charged, Members agree that ROLZO may use a secondary payment method in the account, if available.
4.11 Members agree to assume full liability for, and bear the commercial risk of, any credit card fraud, charge-backs and any other shortfall and/or delay in payment (if any).
4.12 Members shall be fully and solely responsible for the payment process and debt collection in relation to the Customer.
5. Liability and Indemnity
5.1 YOU ACKNOWLEDGE THAT ROLZO DOES NOT PROVIDE TRANSPORTATION, CAR RENTAL, MEET AND ASSIST OR FUNCTION AS A TRANSPORTATION PROVIDER OR CAR RENTAL PROVIDER OR MEET AND ASSIST PROVIDER AND THAT ALL SUCH TRANSPORTATION, CAR RENTAL AND MEET AND ASSIST SERVICES ARE PROVIDED BY INDEPENDENT THIRD PARTY CONTRACTORS WHO ARE NOT EMPLOYED BY ROLZO OR ANY OF ITS AFFILIATES;
5.2 ROLZO AND ITS INVESTORS, SHAREHOLDERS, OFFICERS, DIRECTORS, AFFILIATES, AGENTS, CONTRACTORS, ATTORNEYS AND THIRD PARTY SERVICE PROVIDERS AND EACH OF THEIR RESPECTIVE EMPLOYEES (TOGETHER INDEMNITEES) SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY INJURY, DEATH, LOSS, CLAIM, DAMAGE, ACCIDENT, DELAY OR ANY SPECIAL, EXEMPLARY, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, WHETHER BASED IN CONTRACT, TORT OR OTHERWISE, IN ANY WAY ARISING OUT OF OR IN CONNECTION WITH A MEMBER’S USE OF ANY TRANSPORTATION, CAR RENTAL, MEET AND ASSIST SERVICES OR OTHER SERVICES BOOKED THROUGH THE ROLZO PLATFORM, INCLUDING BUT NOT LIMITED TO:
5.2.1 ANY ERRORS OR DELAYS IN RESPONDING TO A MEMBER’S REQUEST;
5.2.2 EQUIPMENT (INCLUDING VEHICLE) BREAKDOWN OR ANY HARDWARE, SOFTWARE OR TRANSACTION MALFUNCTION;
5.2.3 THE PERFORMANCE, PARTIAL PERFORMANCE, NON-PERFORMANCE OR DELAYED PERFORMANCE OF THE VEHICLE BY THE PROVIDER, INCLUDING ANY ACCIDENT OR INCIDENT OCCURRING DURING THE COURSE OF SERVICE;
5.2.4 ANY ACT, NEGLECT, DEFAULT, OMISSION OR NEGLIGENCE OF PROVIDER, ANY OF THEIR RESPECTIVE EMPLOYEES OR AGENTS;
5.2.5 ANY ACT, NEGLECT, DEFAULT, OMISSION OR NEGLIGENCE OF A MEMBER OR CUSTOMERS;
5.3 Members expressly agree that their sole recourse for claims arising out of performance of the service or any part thereof (including delayed, partial or non-performance) shall be against the Provider;
5.4 If, notwithstanding the provisions of this Clause 6, the Indemnitees have any liability to a Member, such liability shall (to the fullest extent permitted by law) not exceed a sum equivalent to the Booking Price;
5.5 To the fullest extent permitted by law, each Member shall hold harmless and indemnify the Indemnitees from and against all claims, demands, liens, judgments, penalties, awards, remedies, liabilities, damages, actions, proceedings, costs and expenses (including, but not limited to, legal costs) of whatsoever nature (together Claims) and howsoever and whensoever arising out of or in connection with its use of the ROLZO Platform, including but not limited to:
5.5.1 Any breach by the Member of these Terms;
5.5.2 The transportation of the Member’s Customers, including their conduct on-board the vehicle, the adequacy of their travel documentation and their non-compliance with these Terms, the Provider’s Terms, and all other rules and regulations as may be applicable to their travel;
5.5.3 Damage to a Vehicle caused by the Member, Customer or pets;
5.5.4 The performance, partial performance or non-performance of the service;
5.5.5 Any breach or default under any contract concluded between the Customer and Provider, including Provider’s Terms;
5.5.6 Any Claims by the Provider in relation to cancellation fees payable under the Provider’s terms;
5.5.7 Any other losses being the subject of Clauses 5.2.1 – 5.2.5 above. An Indemnitee shall not be held harmless or entitled to any indemnification in relation to Claims arising out of its own gross negligence or wilful misconduct;
5.6 Strictly without prejudice to any other rights they may have, the Indemnitees expressly reserve any and all rights available at law to seek recourse against Customers for any Claims arising out of the services rendered;
5.7 To the extent a third party accesses the ROLZO Platform or makes bookings on behalf of a Member, that third party shall hold harmless and indemnify the Indemnitees from and against all Claims howsoever and whensoever arising out of or in connection with that third party’s use of the ROLZO Platform.
6. Miscellaneous
No failure by ROLZO to exercise and no delay by ROLZO in exercising any right, power or privilege hereunder shall operate as a waiver thereof nor shall any single or partial exercise of any right, power or privilege preclude any other or further exercise thereof or the exercise of any other right, power of privilege. The rights and remedies herein provided are cumulative and are not exclusive of any rights or remedies provided by law.
Members shall not be entitled to assign their benefits under these Terms.
ROLZO may at any time amend these Terms in its absolute discretion. Existing bookings shall remain subject to the Terms in force at the time of booking.
A person who is not a Party to these Terms shall have no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.
The Booking Price, payment terms and other commercial terms contained in the Booking Confirmation are confidential to the Parties and may not be disclosed to third parties without ROLZO’s prior approval.
Time shall be of the essence in respect of a Member’s performance of its obligations under these Terms.
ROLZO may in its absolute discretion revoke any Member’s account with immediate effect.
6.8 ROLZO’s collection, processing and use of personal data in relation to these Terms and the ROLZO Platform is subject to the terms of ROLZO’s Privacy Policy, available at https://rolzo.com/privacy-policy.
7. Law and Jurisdiction
7.1 These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with English law;
7.2 The courts of England shall have exclusive jurisdiction to adjudicate any dispute which arises out of or in connection with these Terms, provided that ROLZO shall be entitled to take proceedings relating to these Terms in any other jurisdiction.
